Terms of Service

Welcome to ProdShot! These Terms of Service ("Terms") govern your access to and use of the ProdShot services, including our website, applications, and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By using the Services, you affirm that you are at least 16 years old and capable of entering into a binding agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your account credentials.
  • Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

3. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Services in any manner that could disable, overburden, or impair the Services.
  • Attempt to gain unauthorized access to any part of the Services.
  • Use any automated means to access the Services without our prior written consent.
  • Upload, post, or transmit any content that infringes any intellectual property rights or violates any law.

4. User Content

You retain ownership of any content you submit through the Services ("User Content"). By submitting User Content, you grant ProdShot a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services.

You represent and warrant that:

  • You own or have the necessary rights to submit the User Content.
  • The User Content does not infringe any intellectual property rights or violate any laws.

5. Payment and Credits

ProdShot offers two ways to pay for the Services: one-time credit packs and monthly subscription plans.

5a. One-Time Credit Packs

  • Purchasing Credits: You may purchase credit packs through our website. Each credit allows you to access specific features of the Services as described on our pricing page.
  • Credit Expiration: One-time purchased credits that remain unused for more than 12 months from the date of purchase will expire and be removed from your account. We will make reasonable efforts to notify you before expiration.
  • No Refunds: All credit purchases are final and non-refundable.

5b. Monthly Subscription Plans

  • Monthly Credits: Active subscribers receive a set number of credits each billing cycle, as described on our pricing page.
  • No Rollover: Monthly subscription credits are refreshed at the start of each billing cycle. Unused monthly credits from the previous cycle do not carry over.
  • Separate from One-Time Credits: Monthly subscription credits are tracked separately from one-time purchased credits. One-time credits are consumed only after your monthly subscription credits have been exhausted.
  • Cancellation: You may cancel your subscription at any time. Your subscription and its associated benefits, including access to subscriber-only features, remain active until the end of the current billing period. No partial refunds are issued for unused days in a billing cycle.
  • Renewal: Subscriptions renew automatically each month unless cancelled before the renewal date.

5c. Billing

  • Billing Information: You agree to provide accurate billing information and authorize ProdShot to charge your payment method for all purchases and subscription renewals.
  • Failed Payments: If a subscription renewal payment fails, your subscription may be paused or cancelled and subscriber-only features may become inaccessible until payment is resolved.

6. Image Storage and Expiration

ProdShot stores the images you generate through the Services. How long those images remain accessible depends on your account tier at the time of access:

  • Active Subscribers: Images are stored indefinitely for the duration of your active subscription. Your full creation history is always accessible while your subscription is current.
  • One-Time Credit Pack Users: Images are accessible for up to 1 year from the date they were created. Images older than 1 year will no longer be visible in your dashboard.
  • Free Users (no purchase): Images are accessible for up to 30 days from the date they were created. Images older than 30 days will no longer be visible in your dashboard.

Restoring Access

If your images have become inaccessible due to expiration, you can restore access by upgrading to a subscription plan or purchasing a credit pack. Images that have been hidden but not yet permanently deleted will become visible again once your account tier is updated.

Permanent Deletion

Images that have been outside the visibility window for more than 1 year may be permanently deleted from our servers and will no longer be restorable under any circumstances. ProdShot is not liable for any loss of data resulting from permanent deletion under this policy.

No Guarantee of Indefinite Storage

ProdShot makes no guarantee of indefinite image storage. We reserve the right to modify storage policies with reasonable notice to users.

7. Intellectual Property

All content and materials available through the Services, including but not limited to text, graphics, logos, and software, are the property of ProdShot or its licensors and are protected by intellectual property laws. You agree not to reproduce, distribute, or create derivative works from any content without our express written permission.

8. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or third parties.

Upon termination:

  • Your right to use the Services will immediately cease.
  • Any unused credits will be forfeited.
  • Sections of these Terms that by their nature should survive termination shall remain in effect.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. ProdShot does not warrant that the Services will be uninterrupted or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, ProdShot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

11. Indemnification

You agree to indemnify and hold harmless ProdShot, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services or violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. Any changes will be effective upon posting the revised Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
